1. About these terms

These terms and conditions govern the use of this website and the provision of services by VTX Operations Limited (Company No. 16934844), trading as Vortex Technologies. By using this website or engaging our services, you agree to these terms. If you do not agree, please do not use this website or engage our services.

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

2. Our services

Vortex Technologies provides IT and network infrastructure services including, but not limited to: network design and engineering, structured cabling, fibre optics, WiFi installation, CCTV, point-to-point wireless, cloud solutions, cybersecurity, digital signage, web design, hardware supply, and consultancy.

All services are provided on the basis of a written quotation or statement of work agreed between Vortex Technologies and the client. Work will only commence once a quotation has been accepted in writing (including by email).

3. Quotations and pricing

All quotations are valid for 30 days from the date of issue unless otherwise stated. Prices are exclusive of VAT unless explicitly stated otherwise. We reserve the right to revise a quotation if the scope of work changes materially from the original brief or if site conditions are found to differ significantly from those on which the quotation was based.

4. Payment terms

Payment terms will be specified in the quotation or contract for each engagement. Unless otherwise agreed in writing, our standard terms are:

  • A deposit may be required prior to the commencement of work, particularly where materials are to be ordered
  • Final payment is due within 30 days of the invoice date
  • We reserve the right to charge interest on overdue invoices at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998

5. Client responsibilities

To enable us to deliver services effectively, the client agrees to:

  • Provide accurate and complete information relevant to the project
  • Ensure appropriate site access is available at agreed times
  • Ensure that any third-party permissions, landlord consents, or building management approvals required for the work have been obtained prior to our attendance
  • Notify us promptly of any changes to requirements or site conditions
  • Provide a suitable environment for any equipment to be installed (including adequate power, cooling, and physical space where required)

6. Limitation of liability

Vortex Technologies will carry out all work with reasonable skill and care. Our liability to you in connection with any engagement shall not exceed the total fees paid by you for that specific engagement.

We shall not be liable for any indirect or consequential loss, loss of profits, loss of data, business interruption, or loss of business opportunity arising from our services, except where such liability cannot be excluded by law. Nothing in these terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under applicable law.

7. Intellectual property

All intellectual property in designs, documentation, and deliverables produced by Vortex Technologies remains the property of Vortex Technologies until full payment has been received, at which point ownership transfers to the client as agreed in the relevant contract. The content of this website, including text, images, and design, is the property of Vortex Technologies and may not be reproduced without written permission.

8. Confidentiality

Both parties agree to keep confidential any sensitive business information disclosed during the course of an engagement and not to use such information for any purpose other than the delivery of the agreed services. This obligation survives the termination of any contract between the parties.

9. Cancellation

Either party may cancel a project prior to commencement with written notice. Where materials have been ordered or work has commenced, the client will be liable for costs reasonably incurred up to the point of cancellation. Cancellation terms for specific engagements will be set out in the relevant quotation or contract.

10. Website use

This website is provided for informational purposes. Whilst we take care to ensure the accuracy of the content, we make no warranties regarding its completeness or fitness for any particular purpose. We reserve the right to change or remove content at any time without notice. Links to third-party websites are provided for convenience and do not constitute an endorsement of those sites or their content.

11. Changes to these terms

We may update these terms from time to time. The current version will always be published on this page with an updated date. Continued use of our website or services after any changes constitutes your acceptance of the updated terms.
